1) Acceptance of terms

By accessing or using Feply's websites, apps, APIs, extension, and related services (collectively, the "Services"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2) Eligibility and authority

You represent that you are legally able to enter into a binding agreement and, if using the Services on behalf of a business, that you have authority to bind that business to these Terms.

3) Account security and access

• You are responsible for your account credentials and all activity under your account.
• You must maintain accurate account and billing information.
• You must promptly notify us of unauthorized account use or a suspected security incident.

4) Service description and boundaries

Feply helps users draft, review, and optionally automate first-reply workflows. Feply does not guarantee lead quality, ranking outcomes, conversion results, or revenue outcomes. Generated outputs may be incomplete or inaccurate and must be reviewed before use.

Certain features also use Google's Gemini models and related Google AI services to generate draft content, suggestions, search assistance, and support responses. By using those features, you instruct Feply to send the prompt and the related business, lead, campaign, workspace, or support context needed to operate the feature.

5) User responsibilities

• You are solely responsible for messages sent, commitments made, and automation settings you enable.
• You are responsible for complying with laws, platform rules, and contractual obligations applicable to your business and communications.
• You must not use the Services for unlawful, deceptive, abusive, discriminatory, or infringing activity.

6) Third-party platforms and integrations

The Services may rely on or interact with third-party platforms and providers (including authentication, hosting, billing, and platform integrations). We do not control third-party services and are not liable for their outages, policy changes, API limitations, or content.

7) Subscription, billing, and taxes

• Paid plans are billed in advance on a recurring basis until canceled.
• You authorize us and our payment processor to charge all applicable fees, adjustments, and taxes.
• You are responsible for applicable taxes, duties, and government charges except taxes based on our income.
• Billing and refunds are governed by our Refund Policy, except where law requires otherwise.

8) Intellectual property

Feply and its underlying software, brand assets, and service content are protected by intellectual property laws and remain our property or our licensors' property. Subject to these Terms, we grant you a limited, non-exclusive, revocable, non-transferable right to use the Services for your internal business use.

You retain rights to your input and business data. You grant us the rights needed to host, process, transmit, and display your data solely to operate and improve the Services.

9) Feedback

If you submit ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and commercialize that feedback without compensation or attribution obligations.

10) Suspension and termination

We may suspend or terminate access immediately if we reasonably believe there is abuse, security risk, legal exposure, non-payment, or violation of these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

11) Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free performance.

12) Limitation of liability

To the fullest extent permitted by law, Feply and its affiliates, officers, employees, and suppliers are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising from or related to the Services.

To the fullest extent permitted by law, our aggregate liability for claims arising from the Services will not exceed the amounts paid by you to Feply for the Services during the twelve (12) months preceding the event giving rise to the claim.

13) Indemnification

You agree to indemnify and hold harmless Feply and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your data, your violation of these Terms, or your violation of law or third-party rights.

14) Changes to services and terms

We may modify, add, or discontinue features from time to time. We may update these Terms by posting the revised version with a new effective date. Your continued use after updates become effective means you accept the updated Terms.
